Who this is for

Tenants of shops, clinics, restaurants, warehouses and offices in Sydney and across NSW.

New tenants

You have a lease proposal, heads of agreement or a draft lease and want to know what you are agreeing to.

Renewing or taking over

Your option is coming up, the landlord wants new terms, or you are taking over someone else's lease.

Health and food businesses

Clinics and food businesses often need fit-out, plumbing, exhaust or X-ray rooms. The lease must allow for them.

Clauses tenants often miss

These are the clauses I see cause the most trouble once the lease is signed.

Rent reviewsFixed increases or market reviews, and what your rent adds up to over the whole term.
Outgoings and extra chargesLand tax, management fees, marketing levies and centre charges added on top of rent.
Personal guaranteesDirectors personally liable for the whole lease, with no limit and no end date.
Bank guarantee or bondHow much, when the landlord can draw on it, and when you get it back.
Make goodHaving to strip your fit-out and restore the premises at the end, at your cost.
Relocation and demolitionClauses that let the landlord move you or end the lease early.
Selling your businessRestrictions on assigning the lease, which can stop or delay a sale.
Turnover rent and trading hoursRent based on your sales, reporting duties and set trading hours in shopping centres.

Questions

Should I get a lawyer before signing the lease proposal or heads of agreement?

Yes, if you can. Rent, incentives, guarantees and term are usually set at the proposal stage. They are much harder to change once the formal lease arrives.

Is a retail lease different from a commercial lease?

In NSW, leases of retail shops are covered by the Retail Leases Act 1994, which gives tenants extra protections, such as a disclosure statement from the landlord. Offices, warehouses and some other premises are not covered. I check which rules apply to your lease.

Can I negotiate a lease in a shopping centre?

Often, yes. Large landlords use standard forms, but rent, incentives, guarantees, make good and fit-out terms are commonly negotiated.

What is a personal guarantee and should I sign one?

It makes you personally liable if your company cannot pay. Landlords often ask for one. It is worth trying to limit the amount or the time it lasts.

My lease is outside NSW. Can you help?

Get in touch. Leasing laws differ between states and territories, and I will tell you whether I can help.
